End User License Agreement and Terms of Service

Effective July 17, 2026

These terms govern access to CareView, an assisted-living operations platform operated by Villa Marketing. By accessing CareView on behalf of an organization, you agree to these terms and represent that you are authorized to do so.

1. Service and license

Subject to these terms and any written order, pilot agreement, or service agreement with your organization, Villa Marketing grants authorized users a limited, non-exclusive, non-transferable, revocable right to access and use CareView for the organization's internal business operations. CareView and its software, design, documentation, and underlying technology remain the property of Villa Marketing and its licensors.

2. Accounts and authorized users

Users must provide accurate account information, keep credentials confidential, use only their assigned account, and promptly report suspected unauthorized access. Customer administrators control role and facility assignments and are responsible for removing access when it is no longer needed.

3. Customer data

The customer organization retains its rights in data it provides or authorizes CareView to access ("Customer Data"). The customer grants Villa Marketing and its service providers permission to host, process, transmit, and display Customer Data only as needed to provide, secure, support, and improve CareView and to comply with law. The customer is responsible for having the rights and authorizations necessary to provide Customer Data.

4. Acceptable use

You may not:

• access CareView or Customer Data without authorization, bypass access controls, or share credentials;
• interfere with the service, introduce malicious code, probe for vulnerabilities without written permission, or use CareView for unlawful activity;
• copy, resell, sublicense, reverse engineer, or create derivative works from CareView except where applicable law does not allow that restriction;
• upload medical records, protected health information, payment-card data, Social Security numbers, resident clinical notes, or other unnecessary sensitive personal information; or
• use generated reports or model-assisted answers as a substitute for professional accounting, legal, medical, investment, or regulatory advice.

5. QuickBooks and third-party services

CareView can connect to third-party services such as QuickBooks Online. The customer controls and authorizes each connection and remains subject to the third party's terms. CareView requests the QuickBooks Online Accounting scope to read accounting reports, account lists, and classes; it does not create or modify QuickBooks transactions. An authorized administrator may disconnect QuickBooks from CareView, which revokes CareView's token and stops future syncs.

CareView also depends on Google Firebase and Google Cloud, OpenAI, and Resend. Third-party service availability and terms may affect CareView functionality.

6. Data accuracy and systems of record

CareView consolidates data for operational decision support. QuickBooks, payroll, census, banking, and other source systems remain the systems of record. Customers must review mappings, freshness indicators, imports, calculations, and reports and reconcile them to authoritative records before relying on them for financial, staffing, clinical, regulatory, tax, or investment decisions. Model-generated summaries may contain errors and must be reviewed by a qualified person.

7. Availability, changes, and support

We work to keep CareView available and secure, but maintenance, provider outages, security incidents, and changes may interrupt service. We may modify features to improve security, reliability, or functionality. Support is available through the CareView support page.

8. Fees

Fees, billing, pilot terms, renewal, and cancellation terms—if any—are governed by the written agreement or order between Villa Marketing and the customer organization. These online terms do not create a separate payment obligation.

9. Suspension and termination

We may suspend or terminate access for a material breach, security risk, unlawful use, nonpayment under a separate agreement, or as necessary to protect customers or the service. Upon termination, the license ends. Customer administrators may request an export or deletion of Customer Data, subject to the applicable agreement, technical feasibility, backup cycles, and legal retention duties.

10. Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAREVIEW IS PROVIDED "AS IS" AND "AS AVAILABLE." VILLA MARKETING DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT CAREVIEW WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT EVERY SOURCE-SYSTEM VALUE OR GENERATED ANSWER WILL BE COMPLETE OR ACCURATE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VILLA MARKETING WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY. VILLA MARKETING'S TOTAL LIABILITY ARISING FROM CAREVIEW WILL NOT EXCEED THE AMOUNT THE CUSTOMER PAID FOR CAREVIEW DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY WHERE LAW PROHIBITS THEM.

12. Governing law

These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any separate written agreement with the customer controls if it conflicts with these online terms.

13. Changes and contact

We may update these terms by posting a revised version and effective date. Material changes may also be communicated to customer administrators. Continued use after an update constitutes acceptance where permitted by law.
